Manners Media, LLC Terms of Use
Sporting Manners, a website operated by Manners Media, LLC (“we,” “us,” or “our”), owns and manages sportingmanners.com along with other sites that link to these Terms of Use (referred to individually as the "Site" and collectively as the "Sites"). Through these Sites, Manners Media, LLC offers a variety of services, information, and resources related to the products and services available (each referred to as a "Service" and collectively as the "Services"). References to the Sites encompass the Services as well.
Manners Media, LLC may, at its sole discretion, change, suspend, modify, or discontinue any part of the Sites, with or without notice. We are not liable for the unavailability of any part of a Site at any time or for any duration. Manners Media, LLC retains the right to block or deny access to any of the Sites for any individual at any time and for any reason. Additionally, we are not obliged to correct or update any information or content present on the Sites.
General Terms
These Terms of Use (along with any additional terms specified below) represent an agreement between Manners Media, LLC and individuals using the Sites (or the parent/legal guardian of any such individuals under the age of 18) (“the Client”). The Terms of Use govern the Client's access to and use of the Sites. Provided that the Client fully complies with these Terms of Use, Manners Media, LLC grants the Client a limited and revocable right to access and utilize the Sites solely for their intended purposes. If the Client uses or accesses the Sites on behalf of a business or other entity, they must have the authority to bind that business/entity. In this case, the term "the Client" will also refer to the business/entity and any of its agents who access or use the Sites. By using or accessing the Sites, the Client affirms that they are of legal age to accept these Terms of Use and can form a binding contract with Manners Media, LLC.
Client Responsibility and Indemnification for Copyrighted Material
The Client acknowledges that they bear full responsibility for securing all necessary permissions, clearances, licenses, and releases for the use of any copyrighted materials, intellectual property, trademarks, branding, sound recordings, images, or other proprietary content related to the final video product created by Manners Media, LLC.
Manners Media, LLC will not be liable for any delays or failures in delivering the final product resulting from unauthorized use of intellectual property or proprietary materials by the Client.
The Client agrees to indemnify and hold Manners Media, LLC harmless from any claims, liabilities, damages, expenses, or costs (including legal fees) arising from or related to the use of such unauthorized materials, without limitation in time.
Should the Client provide any copyrighted or proprietary materials for inclusion in the final product, they warrant that they have obtained all necessary permissions, clearances, and licenses from the original copyright owner or material provider, ensuring that such materials do not infringe upon any third-party rights.
Manners Media, LLC will not be responsible for any infringement or violation of intellectual property rights related to the materials provided by the Client, and the Client will fully indemnify and hold Manners Media, LLC harmless from any such infringement or violation.
Post-Production Feedback and Amendments
Post-production feedback is a vital aspect of the video production process. We offer one round of reasonable amendments within the agreed-upon project scope. A round of amendments is defined as reasonable adjustments or revisions to the video project that can be completed within a single feedback cycle. Reasonable changes may involve minor tweaks to timing, pacing, or visual effects.
Scope Limitation: Any changes or additions requested by the Client must remain within the project scope originally established in the initial quotation. If the Client wishes to make changes that exceed this scope, they will be considered "out of scope."
Out-of-Scope Amendments: It's important to note that changes deemed out of scope will require a new quote and mutual agreement from both parties before any further work can proceed. Out-of-scope amendments may include those that necessitate significant re-editing, additional filming, or substantial alterations to the project's direction or objectives.
Copyright and Ownership:
Manners Media, LLC is dedicated to upholding copyright laws and respecting ownership of all materials used in our client projects.
When the Client provides any materials, including logos, images, trademarks, footage, and audio, it is their responsibility to obtain the necessary permissions in advance from the original copyright holder. By accepting these terms and conditions, the Client indemnifies Manners Media, LLC against any claims, disputes, expenses, or similar issues that may arise from violating copyright laws or pre-existing terms associated with the materials.
Ownership and limitations:
Unless clearly stated and otherwise agreed, when the work is delivered, and subject to payment, the Client is granted all intellectual property rights, including but not limited to, copyright in the work delivered from Manners Media, LLC. Accordingly, Manners Media, LLC expressly assigns to the Client the copyright in the delivered work. All transfer and assignment of intellectual property to the Client shall be subject to full payment, and the delivery may not be used if payment is cancelled for any reason.
Manners Media, LLC reserve only the right to use any footage and related files from client-commissioned projects in our showreels and for other promotional purposes.
Representations and Warranties
Manners Media, LLC’s services are offered and available to users who are at least 18 years of age and of legal age to form a binding contract. If you are under 18 and at least 13 years of age, you are only permitted to use Manners Media, LLC’s services through a parent or legal guardian with their appropriate permission. If you are under 13 you are not permitted to use tManners Media LLC’s services.
